1

Offer document is issued by a company for inviting stakeholders to subscribe to the issue. It includes all the relevant details such as the name of the company, financial details, board of directors etc.  It is to be filed with Registrar of Companies (ROC).

2

Red Herring Prospectus (RHP) is a preliminary registration document that must be filed by a company with SEBI and it is issued to the potential investors. It is associated with the Initial Public Offering (IPO) but it does not include the price or number of shares that will be issued by the company.

3

Shelf prospectus allows the companies to release successive issues over a period of 1 year.  The issue doesn’t need to file for a prospectus every time.

4

The abridged letter is a consolidated version of the letter of offer. It contains all the details mentioned in the prospectus.

5

The prospectus is an offer document that has the complete details of the securities and their prices. It must be registered with ROC before the issue is thrown open to the public.
